(the "Company"), including but not limited to the application (i.e., ZONE Wallet), the website (i.e., https://zonewallet.io, this "Website"), any related APIs and third-party applications that rely on such APIs, or any other services offered by the Company, including but not limited to a trading platform service for specific virtual currencies (such as Bitcoin or Ethereum, as applicable; collectively, "Digital Assets") provided by the Company to the users of its ZONE Wallet (collectively, the "Services"), you must carefully read these ZONE Wallet User Terms (these "Terms") and each of the provisions of the Zone Wallet Privacy Policy (please visit https://zonewallet.io; the "Privacy Policy"), both of which constitute binding agreements between you and the Company, before registering for and using the Services. The agreements you will be entering into with the Company include these Terms and the Privacy Policy (collectively, the "Agreements"), which together form the entire agreements. If you do not agree to any contents of the Agreements, please do not register for an account of the Services, or access or use this Website or the Services, because the Company will not be able to provide you with ZONE Wallet and any relevant services.

1. Acceptance of these Terms
- By registering for, accessing, or using the Services or this Website through any means (including but not limited to devices or services provided through third parties), you acknowledge that you have carefully read and agree to accept all terms and conditions of the Agreements.
- Should you access or use the Services or this Website continuously or without interruption after any revisions and updates to any of the Agreements take effect, you acknowledge that you have been aware of and agree to accept all of the contents of such revised and updated Agreements.
2. User Eligibility
- Under applicable laws, you hereby represent and warrant that when accessing and using the Services or this Website, you possess the following qualifications:
- You are at least 18 years of age or have reached the age of majority as prescribed by applicable law, the Company may provide you with the Services without the consent of your guardian, and you have full capacity to agree to the terms of the Agreements;
- Neither you nor your place of residence or nationality is listed on the "Counter-Terrorism Financing Act Sanction List" and the "Countries or Regions where advice of the International Anti-Money Laundering Organization are not followed or not fully followed" published by the Anti-Money Laundering Division (AMLD; FIU, Taiwan) of the Ministry of Justice of the Republic of China ("Taiwan"), or on any other lists of high-risk countries and regions liable to money laundering and terrorist financing and sanction lists published and updated by the government of the Taiwan from time to time;
- You have not been previously suspended from using the Services or removed therefrom;
- You have full ownership of all of your Digital Assets on the platform of the Services (or you are authorized to agree to transact such Digital Assets);
- The information you provided for account registration is true, accurate, and complete; and
- You have read all the risk statements and disclosures in the terms of the Agreements and agree to assume all the risks described therein.
- If you do not meet the above qualifications, please do not access or use the Services or this Website; otherwise, you, your parents, or your legal guardian will bear all legal and the relevant liabilities arising therefrom. Furthermore, the Company may suspend, cancel, or terminate your user account, block your transactions, or freeze the assets under your account(s).
- Depending on your citizenship and the laws and regulations of your country or region (including but not limited to Singapore, Japan, South Korea, the United States, and the European Economic Area), you may not be permitted to use some or all functions of the Services. Before registering for and using the Services, please confirm whether your actions comply with the relevant laws and regulations applicable to you. The Company may also restrict or prohibit users from countries or regions enumerated by the Company from accessing and using the Services.
- In compliance with regulations and recommendations relating to anti-money laundering and combating the financing of terrorism, the Company may refuse to provide services to any individuals, groups, or regions on the high-risk or sanction lists as described in Clause 2.1.2.
3. Account Registration and Security
- To utilize the Services, you must first register for a ZONE Wallet account and, after completing the account activation process, you may commence accessing and using the relevant functionalities of the Services.
- When registering for a ZONE Wallet account, you are required to provide specific personal data (including but not limited to your name, telephone number, address, email address, date of birth, and passport number, as well as the account created and the password set by you).
- Upon activating your account and during your subsequent access and use of the Services, the Company will implement a know-your-customer (KYC) verification procedure for confirming customer identity. The limitations on your access to, use of, and relevant authorization to use, the Services (including but not limited to daily/weekly limits on the amount of deposits, withdrawals, or transactions) will be determined based on the identification information and proof of identity you provide.
- By activating your account or accessing the Services, you agree:
- That the personal data you provide is accurate and complete at the time of provision, and that in the case of any subsequent changes to your personal data, you shall immediately update such data to ensure its accuracy and completeness;
- To maintain the security of your identification information and proof of identity; and
- To accept the risks associated with any incorrect, outdated, or incomplete information.
- You authorize the Company to conduct inquiries that it deems necessary to verify your identity, including inquiries into identity data (including but not limited to the data listed in Clause 3.2), either directly or through third parties (including but not limited to its Affiliates (defined below), telecommunications companies, relevant anti-money laundering and counter-terrorism financing inquiry systems and databases, or financial institutions). The Company will use the results of such inquiries for account information verification and take corresponding actions as the case may be. You also authorize all third parties to provide complete responses to such inquiries or requests.
For the purposes of the Agreements, "Affiliate" means any entity that has direct or indirect control over, is controlled by, or is under common control with, another entity, or is deemed an Affiliate under the Company Act of the Taiwan. The term "control" (including "controlling," "controlled by," and "under common control with") means the ability to direct or guide the direction of the personnel, finance, and business management and policies of such entity, directly or indirectly, through the ownership of shares with voting rights, or by contract or other means. - Under the following circumstances, the Company has the right to refuse your registration, re-registration, activation, suspension, restriction, termination, or deletion of the authorization to use your ZONE Wallet account(s) and any messages and contents submitted through such account(s), to freeze the assets under your account(s), or to take the initiative to report your case to judicial authorities:
- The information provided by you at the time of registration or subsequently is or becomes outdated, incorrect, or incomplete;
- The number of accounts you (as a single user) could create or are holding violates the limitations set by the Company;
- You transfer or lend your ZONE Wallet account for which you have applied or registered to any third party, or allow such third party to use the same in any manner;
- Your action violates any of the Agreements, or you commit any other improper act;
- You are unwilling to cooperate with real-name verification procedures or to cooperate and explain the nature and purpose of your transaction or the source of your funds;
- Any legal or judicial proceedings regarding a dispute between you and the Company are still pending;
- The activities or actions undertaken or taken under your account(s) violate or are suspected of violating the Company's anti-fraud, anti-money laundering, or counter-terrorism policies, or violate other criminal or administrative laws (including but not limited to the Money Laundering Control Act of Taiwan and regulations or interpretations relating thereto), or you fail to cooperate with the requests made by the Company pursuant to the aforementioned laws, regulations, or policies; or
- The platform operator has the right to close the account(s) of, and refuse to provide relevant services to, any user who is found to engage in various activities stipulated by Article 2 of the Guidelines for Virtual Asset Service Providers (VASP) promulgated by the Financial Supervisory Commission of Taiwan (the "FSC") without filing with the FSC a declaration of compliance with anti-money laundering laws and regulations.
- To ensure transaction security, under any of the following circumstances, the Company will require to re-confirm your identity and will request you to provide information or necessary explanations, during which it may suspend your transaction:
- When the users conduct transactions for amounts above the limit set for their level;
- When the transactions conducted by the user exhibit any abnormality;
- When the identity proof documents or registration certificates provided by the user at the time of registration are suspected of being forged or altered;
- When the user deposits any fiat money into the balance reserved for transactions using a bank account that has not been verified by the Company or its service providers;
- When the users enter into a transaction more than one year after their previous transaction;
- When users whose identity has been verified re-apply for identity verification using another mobile phone number or email address (which is not permitted), or when the same mobile phone number or email address is used by different users for their identity registration procedures;
- When suspected money laundering or terrorist financing transactions are discovered, or when transactions involving the deposit of funds from high-risk countries or regions liable to money laundering or terrorist financing;
- When there is doubt about the authenticity or appropriateness of the user's identity information obtained; or
- When the Company deems it necessary to re-confirm the user's identity based on other facts and evidence, or when the Company deems it necessary to suspend the transaction of the user.
- The suspension, cancellation, or termination of your ZONE Wallet account does not affect any fees and other amounts owed by you to the Company in respect of the Services. When your ZONE Wallet account is suspended, canceled, or terminated, the Company may cancel all outstanding orders related to such account, prohibit you from making any withdrawals, and forbid you from submitting any orders. Users shall not claim any interest or damages for the aforementioned actions.
- When you choose to become a registered user of ZONE Wallet, successfully register, and log into the Services with your account and password, any activities and actions that subsequently occur or are taken shall be deemed to be operated by you personally, and you shall assume any legal liability directly or indirectly resulting therefrom.
- Loss or theft of your relevant information or personal data may lead to unauthorized access to your account by others, or loss or theft of your account, or the Digital Assets and other assets related to your account. You have an obligation to take necessary and reasonable precautions to keep your account and password confidential and from being used by any third-parties, and shall not share, provide, or disclose your account or password to any third parties, or allow them to access or crack the same.
- If you believe that your account and/or password have/has been improperly disclosed to any third party, please immediately change your account and/or password according to the relevant procedures required by the Services; please notify the Company immediately of any loss or theft of your account and/or password or any occurrence of unauthorized transactions.
- The ZONE Wallet account opened by the user may not be transferred, lent, or in any way delivered/provided to any third party for use. The Company may terminate all business dealings with the user who commits any of the foregoing acts.
4. Anti-Fraud, Anti-Money Laundering, and Counter-Terrorist Financing
- The Company (and its Affiliates) and the financial institutions with a contractual relationship with the Company adopt specific policies and procedures against fraud, money laundering, and terrorism financing. In light of this, users are required to cooperate in providing the Company with documents relating to, among others, the source of funds, transaction explanations, and the collection, processing, and use of personal data and other information, for the Company and such financial institutions to insist on fully implementing and executing customer due diligence processes and ongoing analysis thereof, including monitoring suspicious transactions and reporting relevant cases to the competent authority as prescribed by the Money Laundering Control Act.
- The Company is required to retain records of certain information and documents in accordance with applicable laws, regulations and policies (such as the Money Laundering Control Act, the Counter-Terrorism Financing Act, the Regulations Governing Anti-Money Laundering and Countering the Financing of Terrorism for Enterprises Handling Virtual Currency Platform or Transaction, etc.), and to disclose such information and documents to financial institutions and government authorities.
- The Company has full power and authority to determine the appropriate level of verification and standards and may downgrade a user without prior notice. Regardless of regulatory changes, the Company may also adopt relevant policies to restrict verification levels and standards based on factors such as nationality and residence.
5. Transaction Process and Fees
- Deposits
- You may deposit Digital Assets into your ZONE Wallet account from the digital asset wallets provided by the Company or those provided by external service providers other than the Company ("External Digital Asset Wallets").
- To deposit funds into the fiat money transaction reserve balance linked to your ZONE Wallet account, you shall link your bank account (which shall be verified by the Company and financial institutions first) to your ZONE Wallet account.
- The Company engages its partnering financial institution and their delegates to handle the transfer and custody of fiat money transaction funds between you and other users in a trust. The fiat money transaction funds collected and disbursed by the Company on your behalf shall be entrusted to the trust account of the partnering financial institution and settled and disbursed according to the Company's instructions for proper custody of the transaction funds entrusted by you. The beneficiary of the trust shall be the Company, not the users. The partnering financial institution does not manage the trust property for the users or act as a guarantor for their transactions; therefore, the users may not be entitled to directly demand the disposal or return of the trust property from the partnering financial institution.
- The partnering financial institution is engaged by the Company to keep in custody the actually received fiat money funds only and thus is not responsible for the custody of virtual currencies or the identification of their authenticity, nor has it endorsed or guaranteed the Company and the Services. Each user may link their ZONE Wallet account to one bank account only, which it usually takes about three to five business days to verify, but such time required may be extended due to any adjusted operating hours of the financial institution and other related service providers.
- After completing the aforementioned verification, you can deposit fiat money into your transaction reserve balance through your linked and verified bank account. The ZONE Wallet account only accepts deposits into the transaction reserve balance via ATM or Web ATM transfers or online bank transfers.
- Deposits of fiat money into the transaction reserve balance will not accrue any interest. Funds deposited in your ZONE Wallet account can be used only for transactions on the Services.
- The provisions under this Clause 5.1 may be adjusted due to the operations of the partnering financial institution or other service providers (including but not limited to relevant service providers of External Digital Asset Wallets), or due to the requirements of or amendments to any laws or regulations.
- Withdrawals
- You may withdraw Digital Assets by transferring them from your ZONE Wallet account to the Company's Digital Asset wallet or an External Digital Asset Wallet. An additional transaction fee will be charged when you withdraw Digital Assets to an External Digital Asset Wallet.
- Fiat money funds in the transaction reserve balance may be withdrawn to a linked and verified bank account, but cannot be withdrawn via ATM or over-the-counter from the transaction reserve balance or in cash. Withdrawing fiat money to your linked and verified bank account usually takes about three to five business days, but this may be adjusted due to the operating hours of financial institutions and other related service providers, potentially extending the required time.
- The provisions under this Clause 5.2 may be adjusted due to the operations of financial institutions or other service providers (including but not limited to relevant service providers of External Digital Asset Wallets), or due to legal requirements or amendments.
- Orders
Your ZONE Wallet account allows you to purchase Digital Assets at a specified price in fiat money or Digital Assets (orders for such purchases are hereinafter referred to as "Orders"). You must have sufficient balance in your Digital Asset wallet and transaction reserve balance to pay for the Order price and any related fees.
- Transactions
- If you accept the quote displayed in the Services and the Orders and confirm the transaction, the Services will automatically transfer the relevant Digital Assets or fiat money and settle the transaction immediately.
- The buying and selling of Digital Assets in the Services are conducted through automated computerized transactions in principle, but the Company may adopt other methods when deeming it necessary.
- Except as otherwise provided in these Terms, all transactions are final and binding. Before proceeding with the transaction, you should carefully read the entire content of the transaction message, including but not limited to the price of Digital Assets, order volume, service fees, and the buy or sell instructions. Once you fully accept the entire content contained in the transaction message and confirm the transaction, the fees you pay will not be refunded.
- The Company has the right to suspend or cancel Orders or conduct reverse transactions under the following circumstances, and will notify you of its decision thereafter in an appropriate manner:
- Any Orders or transactions constitute abuse of the platform, such as market manipulation;
- Any instructions or transactions that are based on price, quantity, or other matters cause or display an obvious error;
- The bank account linked to your ZONE Wallet account is reported as a flagged account or a derivatively restricted account;
- Due to the requirement of any laws, regulations, or government authorities;
- The Company decides in bona fide discretion to limit the size or frequency of transactions, or to restrict the use of APIs;
- Any anomalies occur, including system and network failures, hacker attacks, and other unexpected factors that may lead to abnormal transactions;
- Under other circumstances that the Company deems abnormal or considers violating the Agreements or relevant laws and regulations (including but not limited to laws and regulations regarding anti-money laundering or counter-terrorism financing); or
- You agree that the Company shall be exempt from all liability for any actions taken by it based on this Clause, to the extent permitted by law.
- Fees
- You agree to pay all fees and amounts due and payable for the use of the Services and authorize the Company to automatically deduct fees and amounts due and payable from your Digital Asset wallet or transaction reserve balance. The relevant fees for depositing and withdrawing Digital Assets will be displayed at the time of your transaction.
- For the fee schedule (which may be modified or updated from time to time), please refer to this website (https://zonewallet.zendesk.com/hc/zh-tw). The relevant fees and amounts due and payable shall be those shown in the applicable fee schedule as announced at the time of placing an Order or executing a transaction, and shall be binding on you and the transaction parties.
- The blockchain protocols between "Digital Asset types" and "wallet address types for sending or receiving Digital Assets" must correspond and be identical. The Services do not support sending Digital Assets to or receiving Digital Assets from wallet addresses of different types of Digital Assets, for example, sending Bitcoin (BTC) to an Ethereum (ETH) address. If you suffer from any loss of Digital Assets as a result of conducting any unsupported Digital Asset transactions as described above, or sending Digital Assets to or receiving Digital Assets from any wrong wallet addresses, the Company cannot retrieve on your behalf any Digital Assets lost after being sent to or received from any wrong wallet addresses due to the nature of the blockchain, nor will it compensate you for any resulting losses to the maximum extent permitted by law.
- The Services do not support any form or type of forks in blockchain and any Digital Assets so created or forked. If you intend to send or receive any Digital Assets so created or forked, please ensure to transfer your Digital Assets to a service provider that supports the fork before the fork occurs.
6. Use Restrictions, Intellectual Property Rights, and Prohibited Conduct
- Subject to the provisions of the Agreements, the Company hereby grants you a limited, non-transferable, and non-exclusive right to access and use the Services for personal, non-profit purposes.
- The Company reserves all rights, ownership, and interest in and to the Services and their contents, including but not limited to all intellectual property rights (including but not limited to patents, design rights, copyrights, trademarks, trade secrets, and other rights).
- The Company may set or adjust the minimum or maximum usage standards for the use of various services and charge relevant transaction fees.
- All contents and resources contained within the Services and on this Website shall be the property of the Company and may not be used without authorization by means of, inter alia, copying, transmitting, distributing, altering, publishing, or creating any derivative works from, any of the foregoing in any form. Any unauthorized use thereof may violate the Copyright Act, the Trademark Act, and other applicable laws and could result in criminal or civil liability.
- Information related to the Services and their contents may not be complete, accurate, or up-to-date and may contain technical inaccuracies or typographical or clerical errors; you should independently verify the accuracy of all such information, make your own decisions based thereon, and assume all associated risks. Furthermore, the Company shall not be responsible for any information, contents, or services provided by third-party data or websites.
- Except as permitted by the Agreements or otherwise, you shall not engage in any the following prohibited activities:
- Copying, plagiarizing, developing, or reproducing any of the Services and their contents (including but not limited to models, designs, interfaces, appearance, and configurations);
- Creating any derivative works from any of the Services and their contents (including but not limited to models, designs, interfaces, appearance, and configurations);
- Reverse engineering, decompiling, or disassembling any part of the Services, or attempting to obtain any source code thereof;
- Disseminating any malicious software, code, viruses, worms, or otherwise damaging or paralyzing the Services;
- Distributing, transferring, selling, renting, authorizing or sub- -authorizing your account to other third parties;
- Copying, transmitting, distributing, selling, authorizing, reverse engineering, altering, publishing, creating derivative works from, or otherwise exploiting any of the Services and their contents in whole or in part;
- Removing or altering any trademarks, logos, copyright or other proprietary notices, instructions, symbols, or labels from the Services;
- Using, accessing, or tampering with non-public areas of the Services, the Company's computer systems, or the technical delivery systems of its suppliers;
- Probing, scanning, or testing the vulnerability or weaknesses of the Company's systems or networks, and violating, breaching, or circumventing any security or authentication measures;
- Accessing or searching within the Services, or downloading any contents from the Services (whether in an automated way or not) in a manner not provided by the Company's currently available interfaces or other generally available third-party web browsers, without complying with the Agreements;
- Sending altered, false, or fraudulent source-identifying information in any way;
- Avoiding, bypassing, removing, disabling, impairing, decoding, or otherwise circumventing any technical measures implemented by the Company, its Affiliates, or other third parties (including other users) taken to protect the Services and their contents; and
- Actually or intentionally interfering with, disrupting, or imposing an undue burden on, the operation of the Services, or interfering with or disrupting the access, host, or network operations of other users.
- You agree and represent that you will not engage in any prohibited and impermissible activities as specified in the Agreements when using the Services and interacting with other users and third parties. The Company may monitor, review, retain, or disclose any information at any time in compliance with all applicable laws, regulations, procedures, or government authority requests. To the extent permitted by law, the Company reserves the right to cancel or suspend your account, block transactions conducted under your account, or freeze your assets at any time for any reason, under the circumstances where, inter alia, the Company determines that your account has been involved in any prohibited activities under any laws or regulations or the Agreements, or suspected of violating any of the Agreements and any anti-fraud, anti-money laundering, and counter-terrorism policies. The Company may transfer the remaining assets in your account in the manner specified. Furthermore, you may not create any additional accounts within the Services.
7. User's Code of Conduct
- You agree not to use the Services for any of the following purposes:
- Uploading, posting, transmitting, disseminating, or otherwise providing any illegal, offensive, threatening, insulting, harassing, pornographic, infringing, defamatory, vulgar, obscene, libelous, privacy-invasive, hateful, racially discriminatory, ethnically discriminatory, or otherwise objectionable content;
- Inciting discrimination, racial discrimination, hatred, harassment, or harm against any individual or group;
- Impersonating a third party or misstating or otherwise misrepresenting your relationship with a third party;
- Uploading, posting, transmitting, disseminating, or otherwise providing any content that you do not have the right to disclose;
- Uploading, posting, transmitting, disseminating, or otherwise providing any content that violates any third party's patents, trademarks, trade secrets, copyrights, or other proprietary rights;
- Uploading, posting, transmitting, disseminating, or otherwise providing any unsolicited or unauthorized advertisement, promotional materials, spam, pyramid schemes, or other forms of solicitation;
- Uploading, posting, transmitting, disseminating, or otherwise providing any data containing software viruses, malware, programs, worms, or similar computer code, files, or programs designed to interfere with, disrupt, or limit the functionality of any computer software, hardware, or telecommunications equipment;
- Failing to comply with, violating, or disregarding the code of conduct, requirements, procedures, policies, or provisions of the Services (where applicable);
- Violating or inciting the violation of any applicable laws and regulations;
- Inciting, abetting, or participating in any violent acts of terrorism or providing any funding or supports therefor;
- Harassing other users of the Services;
- Collecting or storing personal data about other users of the Services without their prior express consent or permission;
- Inciting or inducing any third parties to engage in, or assisting them in engaging in, any of the above activities;
- Using someone else's account or password fraudulently; and
- Other conduct the Company deems improper or in violation of any laws or regulations.
- Regarding your use of the ZONE Wallet services or account, or during your interactions with the Company, other users, or third parties:
- Do not violate any laws, regulations, enactments, or orders (including but not limited to the Banking Act, the Money Laundering Control Act, the Consumer Protection Act, the Fair Trade Act, the Criminal Code, and their related legislation, rules and regulations);
- Do not hold or trade any Digital Assets that ZONE Wallet reasonably determines to have a potential for fraud;
- Do not engage in any potential fraudulent, illegal, or suspicious activities or transactions;
- Do not undertake any actions that impose an unreasonable or disproportionately large load on the websites, software, systems (including any networks and servers used to provide any of the services) owned by the Company or served and operated on behalf of the Company;
- Do not reverse engineer, decompile, disassemble, or otherwise attempt to obtain the source code of any part of ZONE Wallet or the platform of the Services;
- Do not place any Orders to cause unnecessary price volatility, or to create prices that do not reflect the fair market value, including but not limited to artificially buying and selling at the same price to inflate trading volume, creating numerous trades and more trading activity through split Orders, or using consecutive trades to present artificial momentum in a specific direction;
- Do not place any Orders for the sole purpose of canceling bids before execution or placing bids;
- Do not pre-arrange or agree with others on any Orders for artificial execution or manipulation;
- Do not place Orders for the purpose of assisting others in trading;
- Do not place buy and sell Orders that may be executed against each other;
- Do not facilitate any viruses, Trojan horses, malware, worms, or other computer programming routines that attempt to or may damage, destroy, corrupt, misuse, harm, interfere with, surreptitiously intercept, expropriate, or unauthorized access to, any system, data, message, or service;
- Do not allocate, assign, transfer, sell, rent, lease, sublicense, or authorize your ZONE Wallet account to any third party;
- Do not delete or alter any trademarks, logos, copyrights, publication rights or other proprietary right notices, legends, symbols, or labels in the services provided by ZONE Wallet and on the platform of the Services;
- Do not use, access, or tamper with non-public areas of the services provided by ZONE Wallet, the platform of the Services, ZONE Wallet's computer systems, or the technical delivery systems of ZONE Wallet's suppliers;
- Do not probe, scan, or test the vulnerability of any ZONE Wallet system or network, or violate or circumvent any security or authentication measures;
- Do not access or search within, or download any content from, the services provided by ZONE Wallet and the platform of the Services, through any automated or other means other than the currently available interfaces provided by ZONE Wallet or other third-party web browsers (provided that such access, search, or download is only permissible only when carried out in accordance with their terms and conditions);
- Do not forge any part of the TCP/IP packet headers or header information in any email or posting, or in any way use any of the services provided by ZONE Wallet and the platform of the Services to send altered, fraudulent, or false source-identifying information;
- Do not avoid, burn through, delete, disable, damage, decode, or otherwise circumvent any technical measures taken by ZONE Wallet, any ZONE Wallet supplier, or any other third party (including other users) to protect the services provided by ZONE Wallet, or the platform or content of the Services; and
- Do not interfere with or attempt to disrupt the operation of the services provided by ZONE Wallet or the platform of the Services, or that of any user, host, or network, or interfere with or create an undue burden on the services provided by ZONE Wallet or the platform of the Services.
- To comply with applicable legal requirements (if any), the Company may access, retain, or disclose your ZONE Wallet account information and content of the Services. If the Company believes in good faith that it is reasonably necessary to achieve the following purposes, it may access, retain, or disclose such information:
- To comply with legal processes;
- To enforce or administer the Agreements or other terms between you and the Company (including but not limited to investigating suspected violations of the Agreements or suspected involvement in prohibited activities);
- To comply with or cooperate with any requests from judicial or tax authorities or other government authorities;
- To respond to your customer service requests;
- To detect, prevent, or otherwise address fraud, security, or technical issues;
- To comply with any lawful, customary, or reasonable data requests from fiat money service providers or financial institutions; and
- To protect the rights, property, and personal safety of the Company, users of the Services, and the public.
8. Taxation
- With respect to any taxes to be imposed on your transactions conducted through the Services, you shall be solely responsible for confirming the legal classification of, and requirements applicable to, relevant Digital Assets, as well as comply with all relevant laws and tax and reporting requirements. You should seek advice from professional advisors as relevant.
- You shall determine at your sole discretion whether and to what extent any such taxes and fees apply to your transactions conducted through the Services, and make your own decision to withhold, deduct, collect, report, pay, declare, and remit the correct amounts of taxes to the tax authorities. Should you require any relevant transaction records, they can be obtained through your ZONE Wallet account.
9. Links to Third-Party Websites
- The Services may contain links to websites controlled or offered by third parties (which is neither the Company nor its Affiliates). These links are provided solely for your convenience and do not imply the Company's endorsement or recommendation of products, services, or information on any third-party websites, nor do they create an employment, engagement, agency, partnership, or other similar relationship between the Company and such third parties. The Company assumes no responsibility for any information, materials, products, or services posted, offered, or made available on any third-party websites that the Services may link to or direct users to.
- The Company shall not be responsible for any content or privacy protection practices of any third-party websites that the Services may link to or direct users to. You shall solely assume all responsibility for and risk of using such third-party websites or resources. Upon exiting the Services, you should be expressly aware of and take the initiative to thoroughly review the relevant terms of the websites to which you are directed. The Company shall not be liable for your use of third-party websites or online resources.
- Subject to applicable laws and regulations and the terms of the Agreements, you may deposit and withdraw Digital Assets through External Digital Asset Wallets. You shall assume all risks and responsibilities associated with such External Digital Asset Wallets, and the Company bears no liability for any risks arising therefrom.
10. Risk Disclosure
- You agree and acknowledge the risks involved in buying and selling Digital Assets and shall be responsible for reviewing the regulatory status and requirements as set forth by the competent authorities. By using the Services, you acknowledge that you are fully aware of the related risks and all matters that should be noticed and considered, and waive any related right to claim damages or losses resulting from your buying and selling of Digital Assets.
- The aforementioned risks include, but are not limited to:
- Digital Assets are not fiat money. Before deciding to hold, purchase, or sell Digital Assets, you are obligated to research and understand the nature and risks of Digital Assets; the legal obligations associated with the Digital Assets may also change as the legal status changes.
- Not all parties accept Digital Assets as payment for goods or services, and certain jurisdictions may presently or will in the future prohibit the use and relevant transactions of Digital Assets. You should confirm and comply with all laws, orders, or relevant rules and regulations applicable to your transactions.
- Before deciding to hold, purchase, or sell Digital Assets, you should be aware that the value of Digital Assets may have high volatility and low liquidity in nature.
- All information technology systems, personal computers, mobile phones, websites, and any other devices are susceptible to cyberattacks, including but not limited to malicious hacking, viruses, Trojan horses, and other forms of unauthorized intrusion or damage (collectively, "Cyberattacks"). While the Company strives to control such risks within a reasonable range, it does not guarantee that they can be completely eliminated, and neither the Company nor its Affiliates guarantee the anticipation, detection, mitigation, or remediation of any Cyberattacks. Moreover, the Company cannot control the security of the computers, mobile phones, terminals, or other devices you use to access the Services; you should make your own judgement on and ensure the security of using such devices.
- Any computer equipment, hardware, software, and websites may experience transmission errors or delays resulting from connection failures, which may cause delays, malfunctions, or inoperability in your use of the Services. You also acknowledge the nature of telecommunications and Internet services, which means that instructions you send may not be properly received by the Company, and that instructions transmitted via telecommunications and Internet services may be read or known by unauthorized persons. You agree to assume the risks associated with any misunderstandings and errors in such transmissions, and to the extent permitted by law, neither the Company nor its Affiliates shall bear any liability for losses or damages arising from misunderstandings and errors in these transmissions.
11. Disclaimers
- The Services and the content provided under the Agreements may contain unidentified issues. To the maximum extent permitted by law, the Services and the contents relating thereto are provided without any form of warranty or representation. You should carry out necessary verifications and exercise your own judgement with caution when using the Services and any contents relating thereto. The information provided by the Company should not be used as advice or recommendations for personal, legal, or financial decisions.
- Any advice or information obtained from the Services or their contents, whether oral or written, shall not constitute any warranty or guarantee that is not expressly stated in the Agreements. You shall bear full responsibility for all your transactions or holdings of Digital Assets.
- The above disclaimers shall apply to the maximum extent permitted by law and shall continue to apply after the termination or invalidity of the Agreements, or after you cease to use the Services or such use becomes invalid.
- The partnering financial institution is engaged by the Company to handle the transfer of funds between, and the custody of fiat money in, transaction reserve balances only. The partnering financial institution does not endorse or guarantee the Company and the Services, nor is it responsible for the custody of Digital Assets and the identification of their authenticity.
12. Limitation of Liability
- To the maximum extent permitted by law, the Company and its related parties (including but not limited to directors, officers, employees, agents, representatives, or any other companies or individuals involved in creating, producing, or delivering the Services and their contents, collectively referred to as "Related Parties") shall be liable to you exclusively for direct damages resulting from willful or gross negligence in connection with the Services. Neither the Company nor its Related Parties shall be responsible for any damages or losses that could not have been reasonably foreseen.
- To the maximum extent permitted by law, the direct damages referred to in the Agreements shall mean those caused to the property right itself, excluding any losses of interests (such as loss of business opportunities) and any special, indirect, consequential and punitive damages. To the extent of a damage you have suffered, the maximum liability of the Company and its Affiliates to you shall be limited to the total value of the Digital Assets in your ZONE Wallet account at the time of the occurrence of such damage.
- If the Company is unable to perform the Services due to acts of God, actions of government authorities (including but not limited to investigations for anti-fraud, anti-money laundering, or counter-terrorism purposes), terrorists, civil unrest, war, strikes or other labor disputes, natural disasters, service issues with service providers or partnering financial institutions, failures of the equipment or software, significant fluctuations in the value of certain supported Digital Assets, or other events beyond the Company's reasonable control (whether the nature of such events is similar to any of the foregoing or not), the Company may alter, suspend, or terminate the relevant contents of the Services as appropriate. The Company and its Related Parties shall not be liable for damages arising from such force majeure events.
- You understand that the Services may be temporarily suspended or interrupted due to routine maintenance or force majeure reasons. The Company will notify you in advance of its routine maintenance through official notice or other appropriate means, except in emergency situations where timely notification is not possible. The Company shall not be liable for any inconvenience or damage caused by your inability to use the Services due to its routine maintenance or force majeure reasons.
13. Indemnification
- You agree to indemnify the Company, its Related Parties or Affiliates for and against any damages, losses, litigation costs, and other expenses incurred thereby, including but not limited to reasonable inquiry, accounting, and attorney's fees, resulting from the following circumstances:
- Violation of any laws or regulations, any of the Agreements, or any other terms that you must agree upon when using the Services;
- Disputes between you and any other user of the Services; and
- Your violation or infringement of any third party's rights or interests, including but not limited to any intellectual property rights, confidential information, or other rights.
- The aforementioned liability shall continue to apply after the termination or expiration of these Terms, or after you cease to use the Services.
14. Language for Clause Interpretation, Governing Law, and Dispute Resolution
- The contents and their meanings mentioned in the Agreements shall prevail in the Chinese version and are bound by the definitions and interpretations therein. In the event of any inconsistency between the Chinese version and versions in other languages, the Chinese version shall prevail.
- The Agreements shall be governed by the laws of the Taiwan; the relevant terms thereof shall be interpreted and apply in accordance with the laws of the Taiwan.
- Any disputes or claims arising out of or in connection with this Agreements, or issues regarding the breach, termination, or invalidity of the Agreements that require litigation shall be subject to the jurisdiction of the Taiwan Taipei District Court as the court of first instance.
15. General Provisions
- The Agreements constitute the entire agreements, and supersedes any prior or contemporaneous oral or written agreements, between you and the Company.
- The headings in the Agreements are for convenience of reference only and shall not affect the interpretation of any of the terms of the Agreements.
- The Company reserves the right to modify, suspend, or terminate the Services and revise the Agreements at any time, in respect of which the Company will make an official announcement on the website or notify you in any other manner deemed appropriate by the Company.
- If the Company deems that any changes (such as revision or update) to any of the Agreements materially affects your rights, the Company will notify you thereof via the email you have provided to the Company, or in any other manner permitted by applicable law (including in electronic or paper form). If the Company deems it necessary for you to re-confirm or accept such revision or update, it will send the content thereof to your email (or in any other manner); by replying to agree upon the same or continuing to use or access the Services, you agree to be bound by the revised or updated Agreements. If you do not agree to the terms of such revision or update, the Company may not be able to provide or continue to provide all or part of the Services to you (for example, you may still be able to access your transaction records and amounts of funds, but may not be able to continue using most functions of the Services).
The same applies to any changes (such as revision or update) to any of the Services that materially affect your rights. - The Company's failure to enforce any provision of the Agreements shall not constitute a waiver of its rights under that provision.
- If any provision of the Agreements is found to be wholly or partially invalid or unenforceable for any reason, it shall not affect the validity of the other parts of that provision or the other provisions of the Agreements.
- Unless otherwise provided in the Agreements, you may not assign any of your rights and obligations under the Agreements without the prior written consent of the Company in any manner. Any such assignment without the Company's prior written consent shall be rendered null and void.
- The Company may assign or transfer all or part of its rights and obligations under the Services to any of its Affiliates or third parties. In the event of an acquisition or merger involving the Company, the Company may assign or transfer the information collected from you as part of the merger, acquisition, sale, or any other change of control.
- The Agreements shall bind both parties, their successors, and permitted assignees/transferees, and survive the termination or expiration of these Terms, according to the nature of each provision.
